Comments:Larry and I would like to express our sincere gratitude and appreciation for our whole HVGR Board of Directors, HVGR Lease Negotiating Team, and most especially to Tim Nakaska and Dick Burgis, spending thousands of hours, holiday time, weekends, evenings going above and beyond the duties of “Volunteer Director” and paid “General Manager”. Comments:Thank you for outlining your position . It is obvious that it is well thought out and you invested time in preparing your remarks .

I do not believe that there is any argument related to the reason why we need a cap ex fund . The Nation requires it and we will be on our own apart from the $200,000 recovery for the berm expenses and any contributions which may be made by the Nation in connection with the delivery of potable water.

There are numerous ways to generate the cap ex funding and we considered many of them including the methodology you suggested at some length. Regardless of what method is put into place it will be offensive to some. We concluded that an annual assessment of would not be acceptable because it would add to the burden of the annual lease payment which will escalate over time. We felt that the 5% levy would be attractive because the cash would be available from the sale proceeds. Cabin owners would have the ability to negotiate with purchasers to determine who would pay for the assessment .

Respectfully, the major issue that you are overlooking is this:

Upon the expiry of the existing lease and without a new lease you would have nothing to sell - not then and certainly not 5 years down the road from then. You would not enjoy any proceeds unless you are prepared to move your cabin which would cost you at least $25000. The new lease will have not only preserved your investment but enhanced it until you ultimately sell. We believe that 5% is a small price to pay for that. Those individuals who have cabins which are more expensive will benefit more from a new lease now and from future escalation therefore it is equitable that they pay more. We considered a levy at the beginning of the lease based on fair market value and rejected it as it is not practical as there would be significant issues associated with determining fair market value. We also tried to engineer the new arrangement to minimize the immediate financial requirement .

We agree with you that transfers between spouses should not be subject to a levy and that principal will be provided for in the Sublease .

During the earlier stages of the negotiations with the Nation they requested half of the levy. At this point we are loathe to reopen negotiations with the Nation.

It is unfortunate that you cannot attend the session on Sunday.

Hidden Valley Golf Resort

Subject: Negotiations Proposal


First and foremost I would like to offer my sincere appreciation for the time and dedication that you have spent in the very difficult job of negotiating a new lease on behalf of the owners of our Association. The only aspect of the proposed lease, which seems to have come out of left field, is the imposition of a 5% selling penalty that is proposed to be attached to any sale or transfer of leasehold improvements for the duration of the Sublease. I certainly agree that there should be some form of assessment to all owners that would provide a Capital fund that is essential for the future infrastructure needs of our resort; however, I question the manner in which you are trying to achieve those ends. The assessment of a 5% commission on sale or transfer of property after November 1, 2013 is a tax imposed on owners that are leaving our resort whereby they are disproportionately funding capital projects for which they will see limited or no benefit. It is biased and totally prejudicial against those who are more advanced in years and will soon be forced to relocate. The same situation applies to owners who for a variety of personal or work related reasons will have to sell their properties at the resort over the next several years. This method of creating a Capital reserve is not equitable to all members of the association, and alternative means should be considered before forcing a vote with its inclusion. Please consider the following. It is said that approximately 10% of homes at Hidden Valley are sold each year. On that basis, and assuming that the average selling price of a home is $150,000, the revenue generated is as follows. The $150,000 is close to the average of all homes that are currently for sale. I would also suggest that after the lease is signed, and we have 50 more years on the lease term, those prices will rise. On the assumption that 30 homes sell per year, and with a 5% assessment on sales that average $150,000 per sale, the resultant annual revenue is $225,000. Please tell me why you could not have proposed a separate, say $1,000 per year Capital Fund assessment to each home owner???? That would generate over $300,000 per year, and could be adjusted as needs dictate as time goes on. Most important would be that this method removes the inequities of forcing sellers only to provide for the bulk of future capital needs. I suspect that you considered this option, but that your arguments may have been that it causes annual payments to be higher, and not palatable to most. That is not a good argument. It’s like a lottery. The longer you stay here, the less you pay, and the more you will be able to enjoy the benefits/improvements of those that have funded them. There is, of course, a break-even point, and that would be where the future value of the cost savings, ie $1,000 per year is exactly offset by the commission on the selling price of your cabin when you do sell. This would include an imputed rate of interest for the “time value of money”. I don’t want to get technical, but this is the reality from a purely financial prospective. Let me offer my own personal example. I will be selling within the next 5 years, and quite likely before then. One assumption is that there is a uniform $1,000 per year payment for The Fund, and secondly, I am forced to pay a 5% closing fee to The Association when I sell in five years. With the annual assessment at $1,000 per year, I will have paid $5,000, the same as everyone else. On the proposed method, I would be paying 5% of the gross selling price. I fully expect that the value of my home in 5 years would be $200,000, and probably more. Ignoring time value differences, I would pay $5,000 more to the Capital Fund under the current proposal. You can create all of the scenarios that you want, but the bottom line is that the people who sell sooner are incurring proportionality higher costs than those who sell later. The disparity increases over time. Further, there may be legal implications and other problems with potential “Non Arms Length” transactions when sales occur. Ie We know that there can only one name on the title, and let’s assume it is the husband, and he dies. The wife is the beneficiary, and the title will transfer to her name. Aside from potential Income Tax implications, the transfer of title would trigger 5% payment to the association. Or, an individual sells his/her property to the kids at a below Market Value. There could be other reasons or situation where someone sells or transfers for less that Market Value. The results, unless some investigation takes place, would be a smaller and inequitable payment to the Association. Please reconsider what you are doing here. If all the monies are going into the HVGR Capital Expenditure Fund, and the Siksika Nation does not dictate how they are raised, the just and proper method is to standardize payments on an annual basis. Unfortunately, I will be away when the information session occurs this week-end and would appreciate if someone could contact me. Maybe, I’m missing something? I have posted this letter on the HVGR web site so that others are aware of my opinion.

Hello everyone,

My name is Carl Rideout and our family has been in Hidden Valley for the last ten years. Some of you may know me from my efforts to assist the Hidden Valley cabin owners to get paid for their 2005 flood losses via ING when the insurance company refused to pay. Some others would know me from just being around the resort and having fun

I would like to thank everyone who has been involved for their time and efforts in this negotiation to date. I can appreciate that our board members have had a difficult task negotiating the lease because of the changes in personnel and other related issues.

I’m sure most of us have had an opportunity to digest the April 19th notice to cabin owners regarding the lease status. The overall tone of the notice seems rigid and inflexible in places but I wanted to express some things that I think most cabin owners would like to get a better understanding of in order for them to make an informed decision when they vote.

Something on what the future status will be for the annual maintenance fees.
Something on what improvements would be done by Siksika for the $ 10,961,090.00.
Something about assessment values or how they arrived at the $ 35,938.00 number.
Something on the possibility of insurance protection from Siksika to mitigate any flood losses.
Something about the justification for the 5% levy.
Something on the existing annual payment schedule to Siksika potentially being reduced
Something on what happens if the lease is not signed aside from the statement of selling your lot.
Something on a Plan B for the cabin owners. $10,961,090.00 is a lot of money plus the annual fees each year of approximately $ 1,300,000.00 which could create a tax base for a small town. You would think that the combination of these funds and the ability to get some grants would allow us to have a place of our own where we would own the land, not have to worry about flood conditions and have access to the resort 12 months of the year. This option could be worth pursuing given the amount we will be required to pay. It would at least give us an indication of how much more money would be required in order for us to accomplish this goal and potentially add additional lots so we could recoup some of our capital investment and ultimately reduce our overall annual maintenance fees. I am certainly willing to help look for other alternatives.

Here’s one last point to consider. I think it’s fair to say that many cabin owners have not put a lot of investment back into their cabins since to 2005 flood because they have been waiting patiently to see if the lease would be signed. It could be tough for many to invest back into their cabins with having to pay all of these additional expenses combined with our increasing annual maintenance fees.

Unfortunately, I am unable to make the May 6th meeting due to prior obligations but I have been asking board members to provide us with clarification on many of the above concerns for many years. I’m hoping that our HVGR board can assist us with this plus any other questions that other cabin owners may have.

Comments:First let me say Thank you to the HVGR board and the Chief and Council for coming up with a new lease document.

I beleive this to be a decent document , however, I do have a major issue an a smaller concern.
In the lease under Down Payments, Balance of Payment, Annual Payments, Initial Capital Expenditure Payment all of the 305 Subleasees are paying the same.
They then turn around and tell us we have to give up 5% of the price if we should ever desire to sell. That is outrageous.
* First, of all, 5% is far to high of a number. Realtors don't even charge that.
* Second, because a person happens to be a better salesperson and brokers a better deal than his neighbour, why should they be penalized?
* Third, Why would they not just put the 5% against the cost of the lot ($35, 938#? If this were the case, as in all of the catagories above, the cost would be the same for all Subleasees.
I have spoken to my laywer and he is not sure this clause is even legal.
This could become a major bone of contention unless dealt with..

My other question is how are they going to deal with the year round residents issue. I personally know of a few whom live here year round #legally or not). If in fact they adhere to the new lease, will the current year rounders have to move from the resort for the winter months? If not, then shouldn't all current Leasees be grandfathered and have the same right?

Just questions of concern.

As you may know, Jay signed a new three year contract with HVGR taking us through the year 2013. Unfortunately for us, Jay has accepted the Head Golf Professional position at Lakeside Greens Golf Course in Chestermere. He was an Associate Golf Professional at this course 14 years ago prior to joining us as our Head Golf Professional in 1998.

Jay’s decision to leave was a difficult one, but he felt this opportunity was one that made the most sense to him and his family at this point in his career.

We are looking into ordering 22 cords of birch and want to see if anyone else is interested we will have about 13 cords for sale and want to see if anyone is interested.
